FOR GOOD AND VALUABLE CONSIDERATION, the receipt of which is hereby acknowledged, I, the undersigned hereby grant to QbitLounge.com and its subsidiaries, affiliates, successors, assigns, licensees and agents performing services on its behalf (collectively, “QbitLounge”) the irrevocable right to record, broadcast, create transcriptions, film, exhibit, edit and use my name, appearance, photograph, likeness, recording, image, voice, conversation and performance (“Appearance”) in whole or in part, as part of the QbitLounge programming and for advertising, and promotional marketing purposes as solely determined by QbitLounge, in any and all media now known or hereafter invented in perpetuity.

I agree that any recordings and materials created by, for or on behalf of any of QbitLounge that incorporate my Appearance are owned by the QbitLounge and QbitLounge has the unlimited right throughout the universe in all languages in perpetuity to modify, edit, copyright and/or reproduce the recordings and materials and Appearance. QbitLounge shall not have any liability for any visual or audio distortion that may occur in the use of the Appearance. I waive all right to approve the final version or use of such materials containing the Appearance.

I also understand that QbitLounge is under no obligation to use the Appearance and will have no liability to me if the Appearance is not used. This release is gratuitous, QbitLounge will not owe me any compensation or future payment obligation for the use of my Appearance. The rights granted QbitLounge herein are perpetual and worldwide.

I represent and warrant that I have the right to enter into this Agreement on my own behalf and that I am the age of majority in my state of residence (19 in AL and NE, 18 in all other states), that I have the legal authority to grant all rights. I further represent and warrant that I am not restricted by any commitments to third parties and that QbitLounge will not need any other authorizations or licenses to use the Appearance as contemplated herein. I expressly release and indemnify QbitLounge and its officers, employees, agents and designees from any and all claims known and unknown arising out of or in any way connected with the rights granted and representations made herein. I further release and discharge QbitLounge from any action, suits, claims arising out of my participation in any promotion, including, but not limited to, the operation of the promotion, the awarding of any prizes, any loss or damage to any prize and any action or claim for personal injury or loss or damage to property in connection with the use of any prize.

QbitLounge, in its sole discretion, may assign this Agreement and its rights and obligations to any parent company, affiliate or subsidiary, without consent. This Agreement will be binding upon and inure to the benefit of each party’s permitted successors and assigns.

Further I understand that I exclusively retain all intellectual property (IP)rights enjoyed on submission of my idea, POC, or application and that the nature of rebroadcast in this tech space can result in similar tools and applications being developed in rapid order. With this in mind I hereby indemnify Qbitlounge.com against any and all IP claims that may arise.

I agree with the fully publicised scoring system that Qbitlounge has created and understand that this system is continuously updated for program improvement in terms of application qualities and associated weights that are applied and that this dynamic improvement p4ocess may impact my innovations’ rankings both positively or negatively. Therefore I hold Qbitlounge.com harmless for any outcome of this system be it positive or negative without recourse.

Finally, I understand that by signing below I affirm that I have reviewed this Agreement and agree to be bound by the terms herein. I agree that I can execute this Agreement and grant the rights herein without violating the rights of any third party.
